Widemile Terms of Service

These Terms of Service (“Terms”) govern access to and use of Widemile’s global software-as-a-service platform, websites, applications, APIs, AI generation tools, Creative Studio, Pro Studio, Director, agents, collaboration features, integrations, subscriptions, credits and related services (collectively, the “Services”).
By creating an account, selecting the acceptance checkbox, purchasing or using the Services, you agree to these Terms and to the Privacy Policy. The Cookie Policy explains the technologies used on our sites. If you do not agree, do not use the Services.
1. Contracting entity
The Services are provided by Centola Engineering S.r.l., registered office at Contrada Ponzanello Mamurrano 35, 04023 Formia (LT), Italy, VAT number 03343570598, REA LT-332215, share capital EUR 10,000 (“Widemile”, “we”, “us”).

2. Global scope and order of documents
The Services are offered internationally, subject to local availability and applicable law. These Terms apply to individual users, professionals and organisations. Additional written terms may apply to an enterprise order, data processing agreement, partner programme, API plan, beta feature or specific promotion. If they conflict, the signed order or specific terms govern that subject, followed by these Terms.
If you use the Services for an organisation, you confirm that you have authority to bind it. In that case “you” includes the organisation. A person acting mainly outside their trade or profession is a “Consumer”; mandatory consumer law prevails over any conflicting provision.
3. Eligibility: minimum age 18
You must be at least 18 years old to create an account or use any Service. Use by anyone under 18 is prohibited, even with parental or guardian permission.
By registering or using the Services, you confirm that you are at least 18, have legal capacity to enter into this agreement and are not prohibited from using the Services under applicable law. We may request reasonable evidence of eligibility and may suspend or close an account if this requirement is not met.
4. Accounts and organisations
You must provide accurate information, keep credentials secure and promptly update relevant account and billing details. You may not share personal credentials, allow unauthorised access, create accounts through deceptive means or transfer an account without our written approval.
You are responsible for activity performed through your account unless caused by our breach. Notify us promptly of suspected compromise. Organisation owners and administrators may manage members, access, projects and shared credit balances and are responsible for authorising their users.
5. The Services and AI characteristics
Widemile provides tools that can generate or transform images, video, audio, music, voices, text, 3D assets, scripts and other material. Features may use Widemile systems and third-party AI or infrastructure providers.
Generative AI is probabilistic. Outputs may be inaccurate, incomplete, unexpected, offensive, non-unique or unsuitable for your purpose. You must review outputs before relying on, publishing or using them. The Services do not provide legal, medical, financial or other professional advice and must not be used as the sole basis for high-impact decisions.
Model availability, queue times, technical limits, supported formats and credit costs may change as providers and technology evolve. We will not materially reduce a paid plan during its current billing period without a valid reason, and we will provide notice where required by law.
6. Your content and output
“User Content” means prompts, instructions, files, media, data, brand assets, project materials, feedback and other content you submit. “Output” means material generated by the Services in response to your instructions.
As between you and Widemile, you retain your rights in User Content and, to the extent permitted by applicable law and third-party rights, own the Output created for you. We do not guarantee that Output is copyrightable, registrable, exclusive or free from third-party rights. Other users may receive similar output.
You grant Widemile a worldwide, non-exclusive, limited licence to host, copy, transmit, adapt and process User Content and Output only as reasonably necessary to provide, secure, support and improve the requested Services, comply with law and enforce these Terms. This licence ends when the relevant content is deleted, except for lawful retention, backups, previously authorised public sharing and claims. We do not acquire a separate right to train general-purpose AI models on private User Content unless you expressly opt in.
Feedback may be used without restriction or payment, provided it does not identify you publicly without permission.
7. Rights, permissions and identifiable people
You represent that you own or have all rights, licences, lawful bases, consents, releases and permissions required to upload User Content, instruct us and our providers to process it and use the resulting Output.
If content contains another person’s face, voice, likeness, personal data, confidential information, trademark or copyrighted work, you must have the authority required for the specific generation, editing, sharing and commercial use. Extra care is required for children appearing in content, intimate or sensitive contexts, voice cloning and realistic impersonation. Content involving a child must never be sexual, exploitative, deceptive or harmful and must have all legally required permissions from the person with parental responsibility.
8. Acceptable use
You must not use or attempt to use the Services to:
- violate law, court orders, sanctions, export controls or third-party rights;
- create, obtain, distribute or facilitate child sexual abuse material, grooming, sexual exploitation of minors or any sexual content involving a person under 18;
- create or distribute non-consensual intimate imagery, sexual deepfakes, stalking, doxxing, extortion or harassment;
- impersonate, defraud or materially deceive others, including through cloned voices, realistic likenesses, fake documents, phishing or misleading endorsements;
- promote terrorism, violent extremism, credible threats, unlawful violence or hatred against protected persons;
- infer highly sensitive traits, identify people biometrically or conduct surveillance where unlawful or unsupported by an expressly authorised Widemile feature;
- make decisions in employment, credit, insurance, housing, education, law enforcement, migration, healthcare or other high-impact areas without all legally required assessment, safeguards and meaningful human review;
- publish unlawful election manipulation, deceptive political content or AI content without disclosures required by law;
- generate malware, steal credentials, exploit vulnerabilities, disrupt systems or bypass safety, access, rate or payment controls;
- reverse engineer except where the law expressly permits, scrape at scale, resell account access, benchmark deceptively or use Output to build a competing service in breach of applicable rights;
- upload secrets, regulated data or personal data that the selected feature is not designed and authorised to process; or
- encourage, assist or conceal any of the above.
You must also follow any feature-specific safety notice and applicable third-party provider policy communicated in the Service.
9. AI transparency and provenance
You are responsible for disclosures required when publishing or using AI-generated or manipulated material. In particular, clearly disclose artificial creation or manipulation when required for deepfakes, public-interest information, advertising, political communications or other regulated uses.
Do not remove watermarks, provenance data or machine-readable labels where removal would mislead others or violate law. You must apply meaningful human review and must not represent unverified Output as fact. Widemile may add labels, metadata, credentials or technical safeguards to Output.
10. Sharing, collaboration and publication
Private projects remain accessible according to workspace permissions. When you create a public share link, publish to a gallery or invite collaborators, authorised recipients can view and, where enabled, copy, download, remix or edit content. You are responsible for selecting the correct visibility and permissions.
Revoking a link stops future access through that link but cannot retrieve copies already lawfully downloaded or shared. You grant Widemile the licence reasonably necessary to display and deliver content to the audience you selected. Public publication does not transfer ownership to Widemile.
11. Credits and usage
Credits are prepaid or plan-included units used to access computational features. They are not currency, stored value, securities or redeemable cash; they are non-transferable except within an authorised shared workspace.
The Service normally displays the expected credit cost before a generation. Actual cost may depend on model, duration, resolution, quantity or provider pricing. Credits are deducted when the requested processing is accepted or performed. If a chargeable generation fails solely because of a verified Widemile technical error, we will restore the relevant credits automatically where detected or after reasonable verification by support.
Purchased credit packs do not expire unless a different term is clearly disclosed before purchase. Credits included in a subscription are added according to the billing cycle shown for the plan. Free, bonus or promotional credits may have separate expiry, eligibility and anti-abuse conditions disclosed with the offer and may be reversed in cases of fraud, duplicate accounts or error.
Credits have no guaranteed monetary value after purchase and cannot be traded. Changes to future credit pricing or model costs do not alter completed purchases, but may change the amount of future usage available from an existing balance.
12. Subscriptions, prices and payment
Paid plans are billed monthly or annually in advance and automatically renew for the same period until cancelled. The checkout shows the plan, billing interval, currency, taxes where determinable and total due. You authorise Widemile and its payment provider to charge the selected payment method.
You may cancel from account settings. Cancellation normally takes effect at the end of the paid billing period; access continues until then unless the account is suspended for breach. Upgrades may take effect immediately with the amount shown at checkout. Downgrades are available only when offered in the Service and otherwise require cancellation and selection of a new plan after the current period.
We may change prices for future renewal periods with reasonable advance notice. If you do not accept, you may cancel before renewal. Failed or overdue payments may lead to retry, restriction, downgrade or suspension. You remain responsible for applicable taxes, except taxes imposed on our income.
For Team plans, the purchasing organisation is responsible for seats, member activity and charges authorised by its administrators.
13. Consumers, withdrawal and refunds
Nothing in these Terms limits mandatory rights available to Consumers in their country of residence, including remedies for non-conforming digital content or services.
Consumers in the European Economic Area generally have 14 days from an online service contract to withdraw. Where, during checkout, you expressly request immediate performance and acknowledge the legal consequences, the right may be reduced or lost for digital content supplied or services fully performed, to the extent permitted by law. If the right still applies, contact us within the deadline at info@centolaengineering.com, clearly identifying the account and purchase.
Outside mandatory withdrawal, conformity or refund rights, purchases by business users are final and unused credits or partially used billing periods are not refundable unless the checkout, an order form or a specific promotion states otherwise. Approved refunds are made to the original payment method; lawful deductions may apply for service already supplied at the Consumer’s express request.
14. Availability, updates and beta services
We aim to provide reliable Services but do not promise uninterrupted or error-free operation. Maintenance, provider outages, capacity, emergencies, security events or circumstances outside reasonable control may affect availability.
We may update, replace or discontinue features for security, legal, technical or commercial reasons. For material adverse changes to an active paid service, we will provide notice and remedies required by applicable law. Beta, preview or experimental features may be incomplete, change without notice and be subject to additional limits.
15. Third-party services and integrations
The Services may interoperate with AI providers, cloud storage, payment systems, social networks, APIs and user-connected applications. Third-party services remain governed by their own terms and privacy notices. You authorise the data exchange necessary for an integration you activate.
We are not responsible for a third party’s independent service, content or changes, but this does not exclude responsibility we cannot lawfully exclude for the Widemile Service.
16. Moderation, notices and appeals
We may use provider safety systems, automated signals, user reports and human review to detect illegal content, security threats and violations. Depending on severity, we may block a request, limit visibility, remove content, disable sharing, preserve evidence, restrict features, reverse abusive benefits or suspend or close accounts.
Where required, we will explain the principal reason for a restriction and provide an opportunity to challenge it. Urgent action may be taken without advance notice where reasonably necessary to protect people, systems, evidence or comply with law. Automated tools assist enforcement but material appeals may receive human review.
To report illegal or infringing content, send the exact URL or identifier, your contact details, the right or law involved, supporting information and a good-faith statement to info@centolaengineering.com. To appeal an account or content decision, use the same address with the account email and decision details. We may request identity or authority verification and will handle notices under applicable law.
17. Suspension, termination and data
You may stop using the Services, cancel paid plans and request account deletion. Deleting the app or becoming inactive does not cancel a subscription.
We may suspend or terminate access for serious or repeated breach, non-payment, fraud, security risk, unlawful conduct, provider requirement or legal order. When appropriate and lawful, we will provide notice and a reasonable opportunity to remedy or appeal.
After termination, your licence to use the Services ends. Provisions concerning payments due, ownership, confidentiality, disclaimers, liability, disputes and lawful retention survive. Data handling and deletion are described in the Privacy Policy. Export any content you need before deleting the account or before a notified termination date.
18. Widemile intellectual property
The Services, software, interfaces, documentation, trademarks, designs and underlying technology are owned by Widemile or its licensors. Except for the limited right to use the Services under these Terms, no rights are transferred to you.
You may not copy, modify, distribute, sell, lease or create derivative services from Widemile technology, or remove proprietary notices, except as expressly allowed by law or a written agreement. “Widemile” and associated marks may not be used to imply endorsement or affiliation.
19. Confidential information
Non-public business, technical or security information disclosed by one party and reasonably understood as confidential must be protected with reasonable care and used only for the Services. This obligation does not cover information lawfully public, already known without duty, independently developed or lawfully received from another source. Legally compelled disclosure is permitted with notice where lawful.
20. Warranties and liability
For Consumers, the Services carry the legal guarantees and remedies required by applicable law. Nothing excludes liability that cannot lawfully be excluded, including where applicable liability for fraud, wilful misconduct, gross negligence, death, personal injury or violation of mandatory data-protection rights.
For business users, to the maximum extent permitted by law, the Services are provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement and that AI Output will be accurate, unique or suitable.
For business users, neither party is liable for indirect, incidental, special or consequential loss, loss of profit, revenue, goodwill or data, except where such exclusion is prohibited. Widemile’s aggregate liability arising from the Services will not exceed the amount paid by the customer for the affected Services during the 12 months before the event. These limits do not apply to liabilities that cannot legally be limited.
21. Business-user indemnity
If you use the Services in a trade or profession, you will defend and indemnify Widemile against third-party claims, damages and reasonable costs resulting from your unlawful User Content, infringement of third-party rights, material breach of Sections 7 or 8, or deliberate misuse. This does not apply to the extent a claim was caused by Widemile or where prohibited by law.
22. International use, sanctions and export controls
You are responsible for laws applicable to your location, sector, content and intended use. You may not access or use the Services if doing so would cause Widemile or its providers to violate trade sanctions, embargoes or export-control laws, and may not make the Services available to prohibited persons or destinations.
Features, prices, models and payment methods may vary by country. References to a feature do not promise that it is lawful or available everywhere.
23. Governing law and disputes
Before filing a formal claim, contact us and allow 30 days for a good-faith attempt to resolve it. This does not suspend a mandatory limitation period or prevent urgent relief.
These Terms are governed by Italian law. If you are a Consumer, this choice does not deprive you of mandatory protections of your country of habitual residence, and you may bring proceedings in any court available under applicable consumer law.
For users acting in a trade or profession, the courts of Latina, Italy have exclusive jurisdiction, unless a signed enterprise agreement states otherwise. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
24. Changes and general provisions
We may update these Terms for legal, security, technical or business reasons. We will post the new date and, for material changes affecting registered users, provide reasonable notice. Changes apply prospectively from the stated effective date. If you do not agree, you must stop using the Services and cancel before the change takes effect.
We may assign these Terms as part of a merger, reorganisation or transfer of the Services, without reducing mandatory Consumer rights. You may not assign them without consent. If a provision is unenforceable, it will be limited to the minimum necessary and the rest remains effective. Failure to enforce a provision is not a waiver. These Terms and applicable additional agreements form the entire agreement about the Services.
